Terms of Service

Welcome to Seedeo. These Terms of Service ("Terms") govern your access to and use of the Seedeo platform, website, and services (collectively, the "Service") operated by Seedeo ("we," "us," or "our"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing, browsing, or using the Service in any way, including registering an account, purchasing credits, or generating videos, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

Seedeo is a software-as-a-service (SaaS) platform that provides AI-powered video generation capabilities. The Service allows users to generate videos using artificial intelligence models provided by third-party AI model providers. Users can submit text prompts and/or images, and the platform processes these inputs through AI models to produce video content.

The Service integrates with multiple third-party AI video generation models and providers. The availability, quality, and capabilities of these models may change over time without prior notice. We reserve the right to add, modify, or remove supported AI models at any time.

3. Account Registration

To access certain features of the Service, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials and not share your account with others.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

You may register using Google OAuth or email-based magic link authentication. You are responsible for the security of the authentication method you choose. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

4. Credits and Payment

The Service operates on a credit-based system. Credits are required to generate videos and are consumed based on the AI model used, video duration, resolution, and other parameters.

4.1 Purchasing Credits

Credits can be purchased through our supported payment providers, including Creem and Stripe. All purchases are subject to the pricing displayed at the time of purchase. Prices are subject to change, but changes will not affect credits already purchased.

4.2 Subscriptions

We may offer subscription plans that include a recurring allocation of credits. Subscription credits are allocated at the start of each billing cycle and may expire at the end of the billing period, as specified by the terms of your subscription plan. Unused subscription credits do not roll over to the next billing cycle unless explicitly stated otherwise.

4.3 Credit Expiration

Credits may have an expiration date depending on the type of credit package or subscription plan. Expired credits are forfeited and cannot be recovered or refunded. It is your responsibility to use your credits before they expire.

4.4 Refund Policy

Credits that have been used for video generation are non-refundable. If a video generation fails due to a system error or AI provider failure, the credits frozen for that generation will be automatically released back to your account. We do not provide refunds for unused credits except as required by applicable law. Refund requests for unused credit packages may be considered on a case-by-case basis at our sole discretion.

4.5 Credit Freezing

When you initiate a video generation, the estimated credits required are temporarily frozen from your account balance. Upon successful completion, the frozen credits are settled (consumed). If the generation fails, the frozen credits are released back to your available balance.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all content you submit to and generate through the Service.

5.1 Prohibited Content

You must not use the Service to generate, attempt to generate, or distribute content that:

  • Is sexually explicit, pornographic, or depicts nudity (NSFW content).
  • Depicts, promotes, or glorifies violence, gore, or physical harm against individuals or groups.
  • Contains hate speech or promotes discrimination, hostility, or violence against any individual or group based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Infringes upon the intellectual property rights of any third party, including copyrights, trademarks, patents, or trade secrets.
  • Depicts real individuals without their consent, including deepfakes or misleading impersonations.
  • Is illegal, fraudulent, deceptive, or harmful under any applicable law or regulation.
  • Contains or promotes terrorism, extremism, or radicalization.
  • Is designed to harass, bully, intimidate, or threaten any individual.
  • Depicts child exploitation or abuse in any form.

5.2 Prohibited Activities

You must not:

  • Use the Service to develop competing AI video generation products or services.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of the Service.
  • Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable use or places undue burden on our infrastructure.
  • Circumvent, disable, or interfere with security features of the Service.
  • Resell, sublicense, or commercially redistribute access to the Service without our prior written consent.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Use the Service to send unsolicited communications, spam, or promotional materials.
  • Attempt to gain unauthorized access to other user accounts, our systems, or networks connected to the Service.

6. Intellectual Property

6.1 User-Generated Content

Subject to these Terms, you retain ownership of the videos and content generated through the Service using your prompts and inputs. You are free to use, modify, distribute, and commercialize the content you generate, provided that such use complies with these Terms, applicable laws, and the usage policies of the underlying AI model providers.

6.2 Platform Intellectual Property

The Service, including its design, features, functionality, software, user interface, branding, trademarks, logos, and all related intellectual property, is and remains the exclusive property of Seedeo and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use such feedback for any purpose without any obligation or compensation to you.

7. Content Policy

The videos generated through the Service are produced by artificial intelligence models. AI-generated content is inherently unpredictable, and we do not guarantee that the output will match your expectations, be free from errors or artifacts, or be suitable for any particular purpose.

You acknowledge and agree that:

  • AI-generated results may vary and are not guaranteed to produce specific outcomes or meet specific quality standards.
  • The same prompt may produce different results at different times.
  • Generated content may contain visual artifacts, distortions, or inaccuracies.
  • We do not review or approve generated content before it is delivered to you. You are responsible for reviewing all generated content before use.
  • You are solely responsible for ensuring that your use of generated content complies with all applicable laws and regulations.

8. Third-Party AI Models

The Service utilizes AI video generation models provided by third-party providers. Seedeo is not the developer or creator of these AI models and is not affiliated with, endorsed by, or sponsored by any third-party AI model provider.

You acknowledge and agree that:

  • The availability, performance, and capabilities of third-party AI models are outside our direct control and may change without notice.
  • Third-party AI model providers may have their own terms of service, acceptable use policies, and content policies that apply to the content generated using their models.
  • We are not responsible for any errors, limitations, biases, or failures of third-party AI models.
  • We may replace, add, or remove third-party AI models at our discretion to improve the Service.
  • Model names and brand names referenced in the Service are trademarks of their respective owners.

9. Subscription and Cancellation

9.1 Subscription Terms

If you subscribe to a paid plan, your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the applicable subscription fee at the beginning of each billing cycle.

9.2 Cancellation

You may cancel your subscription at any time through your payment provider (Creem or Stripe) or through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period.
  • You will not be charged for subsequent billing cycles.
  • Any remaining subscription credits will expire at the end of the current billing period per your plan terms.
  • Purchased (non-subscription) credit packages will remain available until their respective expiration dates.

9.3 Plan Changes

We reserve the right to modify subscription plans, pricing, and credit allocations. Changes to your current subscription will take effect at the start of your next billing cycle. We will provide reasonable notice of material changes to subscription terms.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Seedeo, its officers, directors, employees, agents, affiliates, successors, or assigns be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

  • Your access to, use of, or inability to use the Service.
  • Any content generated through the Service, including any errors, inaccuracies, or defects in such content.
  • Any unauthorized access to or use of our servers or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Service.
  • Any bugs, viruses, or other harmful code that may be transmitted to or through the Service by any third party.
  • Any third-party AI model failures, outages, or changes in functionality.

In no event shall our total aggregate liability to you for all claims arising out of or relating to the Service exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS.
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
  • THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE, SOFTWARE, OR DEVICE.
  • THE QUALITY OF ANY AI-GENERATED CONTENT WILL MEET YOUR EXPECTATIONS.

You acknowledge that you use the Service at your own risk and that you are solely responsible for any damage to your computer system or loss of data that results from your use of the Service.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Engaging in prohibited activities or generating prohibited content.
  • Non-payment or fraudulent payment activity.
  • Conduct that we determine, in our sole discretion, is harmful to other users, the Service, or our business interests.
  • Extended periods of inactivity.

Upon termination, your right to use the Service will immediately cease. Any credits remaining in your account at the time of termination may be forfeited, except as required by applicable law. We are not liable to you or any third party for any termination of your access to the Service.

You may terminate your account at any time by contacting us at support@seedeo.app. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and dispute resolution.

13. Changes to Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and may notify you through the Service, by email, or by other reasonable means.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may request account termination.

We encourage you to review these Terms periodically to stay informed about any changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Seedeo operates, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the competent courts of that jurisdiction.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
